Lippert, Patrick Industries End Discussions Regarding Potential Merger of Equals

On Monday, May 4, LCI Industries and Patrick Industries both released press releases announcing the termination of discussions regarding a potential merger of equals.

LCI Industries’ release is as follows:

LCI Industries today announced that the company and Patrick Industries have terminated discussions regarding a potential merger of equals, as the companies were unable to reach mutually agreeable terms. LCI Industries and Patrick Industries each previously confirmed discussions on April 17 and noted there could be no assurance that any such agreement would be reached.

As previously announced, LCI Industries will release its first quarter 2026 financial results before the market opens on Tuesday, May 5. LCI Industries will also host a conference call and webcast to discuss its first quarter 2026 results on Tuesday, May 5, at 8:30 a.m. ET. Patrick Industries’ release stated:

Patrick Industries Inc., a leading component solutions provider for the outdoor enthusiast and housing markets, today announced that the company and LCI Industries have terminated discussions regarding a potential business combination. While there was consensus on leadership of the combined company, continued execution of Patrick’s strategic plan and vision, and other key aspects of a potential transaction in alignment with a merger of equals, the companies were unable to reach agreement on certain other key terms. Patrick and LCI previously confirmed discussions on April 17, and noted at that time there could be no assurance that any transaction would result from such discussions.
